ARTICLE I - NAME

THE NAME OF THIS NON-PROFIT ORGANIZATION IS THE KENTUCKY MUD MASTERS.

THE PRINCIPAL PLACE OF BUSINESS AND THE PLACE WHERE ALL MEETINGS ARE TO BE HELD SHALL BE AND IS THE CITY OF FRANKFORT, COUTY OF FRANKLIN, STATE OF KENTUCKY, WITH ITS PRINCIPAL ADDRESS TO BE THE MAILING ADDRESS OF THE CURRENT PRESIDENT OF THE ORGANIZATION.

ATRICLE II - PURPOSES AND OBJECTIVES

THE PURPOSE AND OBJECTIVES OF THE ORGANIZATIONS ARE AS FOLLOWS:

TO STIMULATE INTEREST IN ALL ASPECTS OF ROAD/OFF ROAD DRIVEN 4X4 VEHICLES.

TO TAKE AN ACTIVE INTEREST IN ALL THE CIVIC, SOCIAL AND MORIAL WELFARE OF THE REGION.

TO UNITE THE MEMBERS IN THE BONDS OF FRIENDSHIP, GOOD FELLOWSHIP, MUTUAL UNDERSTANDING, AND COOPERATION LEADING TOWARD APPRECIATION OF ALL ASPECT OF ROAD/OFF ROAD DRIVEN 4X4 VEHICLES AS DEFINED HEREIN.

TO COOPERATE WITH OTHER ORAGIZATIONS AND 4X4 CLUBS ENGAGED IN WORTHWHILE ACTIVITIES FOR THE PUBLIC WELFARE.

TO FORM A BOND BETWEEN THOSE INTERESTED IN ROAD/OFF ROAD DRIVEN 4X4 VEHICLES WITHOUT REGARED TO SEX, RELIGION, CREED, RACE, COLOR , POLITIACAL AFFILIATION, OR COUNTRY OF NATIONAL ORIGIN.

To exist as a non-profit, charitable organization dedicated to road/off road driven vehicles as defined herein.

TO FURTHER THE IDEALS AND PURPOSES OF THE KENTUCKY MUD MASTERS.

ARTICLE III - ORGANIZATION

THE STRUCTURE OF THE ORGANIZATION SHALL BE AS FOLLOWS:

BOARD OF DIRECTORS - THE ORGANIZATION SHALL NOT HAVE A BOARD OF DIRECTORS.

OFFICERS - THE OFFICERS OF THE ORGANIZATION ARE AS FOLLOWS: PRESIDENDT, VICE PRESIDENT, TREASURER AND SECRETARY. THOSE PERSONS HOLDING OFFICE IN NOVEMBER WILL REMAIN IN OFFICE UNTILL SUCH TIME AS ON OR MORE OFFICIALLY RESIGNS THAT POSITION; THE NEW ELECTION(S) FOR THAT OFFICE WILL TAKE PLACE AS OUTLINED IN ARTICLE VIII - ELECTIONS.

AREA REPRESENTATIVES - APPOINTED ON A VOLUNTARY BASIS FROM AMONG THE MEMBERSHIP.

ARTICLE IV - MEMBERSHIP

ALL PERSONS OF GOOD MORAL CHARACTER HAVING COMMON INTERESTS WITH THOSE STATED OBJECTIVES SET FORTH IN ARTICLE II OF THESE BYLAWS ARE ELIGIBLE TO APPLY FOR MEMBERSHIP.

NEW MEMBERSHIP CAN BE ATTAINED BY:

ATTENDING AT LEAST ONE CLUB MEETING STATING THEIR INTERST IN BECOMING A MEMBER - MANDATORY, AND PAYING AN INTIATION FEE OF $12.00.

COMPLETE A 60 DAY PROBATIONARY PERIOD.

MAJORITY VOTE OF CURRENT ACTIVE MEMBERS AND

IF ACCEPTED BY MAJORITY VOTE, PAYING YEARLY DUES OF $12.00

THE CLUB HAS THE RIGHT TO REFUSE ANY MEMBERSHIP REQUEST.

MEMBERSHIP SHALL BE BASED ON A SINGLE ADULT. THIS MEANS THAT EACH ADULT 18 YEARS OF AGE OR OLDER IS TO PAY A $12.00 MEMBERSHIP FEE EACH YEAR.

UPON REACHING THE AGE OF 18, A CHILD OF AN ACTIVE MEMBER MUST BEGIN PAYING DUES SEPARATE FROM HIS/HER FAMILY AND WILL BE CONSIDERED A MEMBER IN HIS/HER OWN RIGHT.

ONLY MEMBERS CONSIDERED AN ACTIVE MEMBER MAY VOTE AND HOLD OFFICE. SEE DEFINITION OF ACTIVE MEMBER UNDER DEFINITIONS SECTION OF THESE BYLAWS.

FOR THOSE MEMBERS WHO HAVE DROPPED OUT OF THE CLUB FOR ANY REASON AND HAS NOT KEPT THEIR DUES CURRENT, THEY CAN REJOIN THE CLUB BY:

ATTENDING A MEETING AND STATING THEY WISH TO RESUME THEIR MEMBERSHIP;

BY A MAJORITY VOTE OF CURRENT ACTIVE MEMBERS PRESENT AT THE SAME MEETING AND CONDUCTED BY SECRET BALLOT; AND

IF ACCEPTED BY MAJORITY VOTE, PAYING YEARLY DUES.

ARTICLE IV - CLUB DUES

THE ANNUAL MEMBERSHIP DUES FOR CONTINUING MEMBERSHIP SHALL BE $12.00 EACH YEAR AS OF OCTOBER 4, 2007. DUES ARE SUBJECT TO MODIFICATION BY VOTE AND APPROVAL OF THE MEMBERSHIP.

CLUB DUES ARE TO BE USED TO OPERATE THE ORGANIZATION:

PUBLICATION OF THE ORGANIZATION NEWSLETTER.

PROMOTIONAL EXPENSES; AND/OR

ADMINISTRATIVE EXPENSES INCURRED IN OPERATION OF THE ORGANIZATION.

FOR NEW MEMBERS JOINING AFTER THE BEGINNING OF THE FISCAL YEAR, DUES SHALL BE $12.00 FOR THE YEAR.

ARTICLE VI - MEETINGS

REGULAR CLUB MEETINGS OF THE ORGANIZATION SHALL BE CONDUCTED IN THE CITY OF FRANKFORT, COUNTY OF FRANKLIN, STATE OF KENTUCKY. CLUB MEETINGS SHOULD BE HELD AT THIS LOCATION DUE TO BEING THE FOUNDING CITY OF THE ORGANIZATION AND BEING THE MOST CETNRAL LOCATION FOR MEMBERS.

THE ENTIRE CLUB WILL MEET REGULARLY EVERY TWO WEEKS ON SATURDAY AT 3:00 P.M. PROMPTLY, ONE MEETING A MONTH IS MANDATORY. SUBJECT TO CHANGE PER MAJORITY VOTE OF THE CLUB MEMBERS.

SPECIAL MEETING - SPECIAL MEETING OF THE MEMBERSHIP MAY BE CALLED BY THE OFFICERS OF THE ORGANIZATION OR BY TEN PERCENT (10%) OF THE ACTIVE MEMBERSHIP AT ANY TIME TO BE HELD AT SUCH TIME AND PLACE AS DESIGNATED IN THE NOTICE OF THE SPECIAL MEETING. NOTICE OF ANY SPECIAL MEETING SHALL BE SERVED UPON THE MEMBERSHIP BY MAIL AT LEAST (4) DAYS PRIOR TO THE DATE FIXED FOR SUCH MEETING. SUCH MEETING SHALL STATE THE SPECIFIC BUSINESS TO BE BROUGHT BEFORE THE ORGANIZATION AT SUCH SPECIAL MEETING.

OFFICERS SHOULD BE IN CONACT WITH EACH OTHER TO ORGANIZE INFORMATION, ETC. ANY ACTIVE MEMBER MAY BRING FORTH ANY SPECIAL CONCERNS TO THE PRESIDENT PRIOR TO ANY REGULAR CLUB MEETING.

ATTENDANCE SHALL BE TAKEN AT EACH MEETING.

ARTICLE VII - ELECTIONS

WHEN APPLICABLE, THE OFFICERS OF THE ORGANIZATION SHALL BE ELECTED FROM ACTIVE MEMBERS IN GOOD STANDING. EACH OFFICE IS TO BE HELD FOR THE LENGTH OF TIME STATED (SEE ARTICLE III - ORGANIZATION - A.2 OF THESE BYLAWS).

WHEN APPLICABLE, THE NOMINATION OF OFFICERS SHALL TAKE PLACE AT THE MONTHLY MEETING TWO MONTHS PRIOR TO DATE OF ELECTION. THIS WILL GIVE NOMINEES TIME TO PREPARE FOR THE ELECTION IN THESE TWO MONTHS, ALL CANDIDATES SHALL HAVE A CHANCE TO CAMPAIGN AND STATE THEIR PLATFORMS OR EXPRESS THEIR VIEWS AND GOALS FOR THE NEXT TERM. CANDIDATES CAN ACCOMPLISH THIS BY SPEAKING AT A MONTHLY MEETING OR IN THE NEWLETTER.

WHEN APPLICABLE, VOTING FOR OFFICERS SHALL BE BY SECRET BALLOT ONLY. THE MEMBERS NOMNATED FOR OFFICE SHALL BE ANNOUNCED AND GIVEN THE OPPORTUNITY TO ACCEPT OR DECLINE THE NOMINATION. IF ALL NOMINEES DECLINE, THEN BALLOTING BEGINS AGAIN. THE MEMBERS PROPERLY NOMINATED AS SPECIFIED IN THESE BYLAWS RECEIVING A MAJORITY OF VOTES CAST FOR SUCH OFFICE SHALL BE DECLARED ELECTED, EXCEPT WHEN THERE ARE MORE THAN TWO (2) CANDIDATES, THE NOMINEE RECEIVING A PLURALITY OF VOTES CAST SHALL BE DECLARED ELECTED..

ABSENTEE VOTING SHALL BE ALLOWED (SEE DEFINITION OF ABSENTEE VOTING IN THESE BYLAWS FOR CORRECT PROCEDURES).

IF AN OFFICE IS VACATED DURING A TERM, THEN ANOTHER ELECTION SHALL BE HELD IN ACCORDANCE WITH THOSE PROCEDURES SET FORTH IN THIS ARTICLE.

ARTICLE VIII - QUORUM

A MAJORITY OF THE MEMBERS SHALL CONSTITUE A QUORUM FOR THE TRANSACTION OF BUSINESS AT ANY MEETING OF THE MEMBERS, PROVIDED THAT IF LESS THAN A MAJORITY OF THE MEMBERS PRESENT ARE PRESENT AT SAID MEETING, A MAJORITY OF THE MEMBERS PRESENT MAY ADJOURN THE MEETING FROM TIME TO TIME WITHOUT FURTHER NOTICE.

FIFTY PERCENT (50%) OF MEMBERS PRESENT, EXCLUDING OFFICERS, CAN MAKE A QUORUM.

THE NUMBER OF CLUB MEMBERS THAT MUST BE PRESENT IF THE BUSINESS IS TO BE DONE LEGAL OR BINDING, MORE THAN ONE HALF () MEMBERSHIP USUALLY CONSTITUTES A QUORUM IF NO SPECIAL RULES EXIST.

ARTICLE IX - POWERS AND DUTIES OF OFFICERS

NO OFFICER SHALL RECEIVE ANY COMPENSATION FOR ANY SERVICES RENDERED TO THIS ORGANIZATION AS AN OFFICER.

THE PRESIDENT SHOULD BE THE CHIEF EXECUTIVE OFFICER OF THE ORGANIZATION AND SHALL COMMUNICATE WITH ALL MEMBERS. The presidents duties ARE AS FOLLOWS:

SHALL PRESIDE AT ALL MEETINGS.

SHALL APPOINT THE STANDING ADMINISTRATIVE ACTIVITIES AND OTHER COMMITTEES AS APPROVE BY THE MEMBERS.

SHALL SEE THAT THE COMMITTEES FUNCTION AND SHALL COOPERATE WITH THOSE COMMITTEES.

SHALL CALL FOR REGULAR COMMITTEE REPORTS.

SHALL SEE THAT REGULAR ELECTIONS ARE HELD IN ACCORDANCE WITHIN THESE BYLAWS

SHALL REPRESENT THE CLUB TO THE BEST OF HIS/HER ABILITY.

SHALL KEEP OTHER OFFICERS AND ALL MEMBERS INFORMED OF ALL ACTIVITIES SUCH AS CLUB EVENTS OR MEETINGS.

SHALL ENSURE THAT THE ORGANIZATION IS RUN ACCORDING TO THE BYLAWS.

IF THE PRESIDENT CANNOT PRESIDE AT A MEETING AND THE MEETING IS NOT CANCELLED, THEN THE REMAINING OFFICERS PRESENT AT SAID MEETING SHALL CONDUCT CLUB BUSINESS IN THE PRESIDENTS ABSENCE.

The vice president ( when Applicable) represents the president if for any reason the president is unable to perform his/her duties. In this respect, the vice president shall occupy the presidents position, having the same authority as the president. The vice presidents duties are as follows:

Shall assist the president in his/her duties as requested by the president and agreed by the vice president.

Shall be in good standing with all members to ensure good club relations and club moral.

Shall represent the club to the best of his/her ability.

The treasurer shall be under the supervision and direction of the president and members of the club. The treasurer’s duties are as follows:

Shall keep the members accounts and a detailed record of all receipts and disbursements.

Shall issue statements of expenditures (invoice, receipts, etc.) at meetings. Actual finance statements will not be published in any letter but are available to each active member upon request.

Shall pay all invoices due after approval from the president.

Shall represent the organization to the best of his/her ability.

The secretary shall be under the supervision and direction of the President and club members. The secretary’s duties are as follows:

Shall take and maintain minutes of all meetings.

Shall provide a list of members to all members.

Shall insure that monthly newsletter is distributed to all members.

Shall publish summary of minutes of preceding monthly meetings in the newsletter.

Shall perform all necessary clerical duties essential to the operation of the organization.

Shall maintain all minutes, correspondence, other records and pertinent documents in a filing cabinet at the club office.

Makes sure all records and documents are kept in an orderly fashion.

Shall represent the organization to the best of his/her ability.

Article x - committees

Special committees for designated purposes may be appointed by the president and approved by the members.

The chairperson of each committee shall report to the members. All issues or suggestions made by all committees shall be discussed and approved by the members.

Article xi - fiscal year

The fiscal year of the club shall be the calendar year and shall commence on January 1st and end on December 31st .

Article xii - removal of officers

If a member believes an officer is not representing or adhering to the bylaws of the organization, then that member shall bring the matter before the officers that are presently in office. If the matter cannot be resolved by the officers, then the matter may be brought before the membership for a vote to determine appropriate sanctions, including removal of that officer from his/her current position.

Article xiii - Amendments to bylaws

All proposed amendments to these bylaws shall be presented to the members for consideration by the members. The proposal should be held on the meeting agend at least twice before voting in to the bylaws.

Article xiv - Distribution of bylaws

All current members of the Kentucky mud masters shall receive one copy of the bylaws for refrence. All new members will receive a copy of the bylaws upon completion of the membership process.
